1. Agreement to terms
These Terms of Service ("Terms") constitute a binding agreement between you ("Customer," "you") and IntegTrade ("IntegTrade," "we," "us") governing access to https://integtrade.com and the IntegTrade application. By using the Service, you agree to these Terms and our Privacy Policy.
2. The service
IntegTrade is a cloud-based Commerce OS for Amazon sellers and agencies. The Service includes brand intelligence (BrandOS), listing optimization, visual briefs, growth analytics, and related workflows integrated with Amazon Selling Partner API (SP-API) and, where authorized, Amazon Advertising API.
Current phase capabilities include:
- Listing creation, editing, and publishing
- Variation theme and product type configuration
- Product image and media management
- A+ Content module workflows
- Competitor intel from public and authorized data sources
Features may evolve. We may add, modify, or discontinue features with reasonable notice to active subscribers.
3. Eligibility
- You must be at least 18 years old and authorized to bind your organization
- The Service is for businesses selling on or supporting Amazon marketplace sellers
- Dashboard access is currently invitation-only unless otherwise agreed in writing
- You must provide accurate registration information and maintain credential confidentiality
4. Amazon authorization & compliance
OAuth only. IntegTrade connects to your Amazon seller account only after you complete Amazon's official Login with Amazon (LWA) authorization. You must never provide your Amazon password to IntegTrade.
You agree that:
- You have authority to grant the API permissions you approve
- You will comply with Amazon Seller Central policies, SP-API AUP, DPP, and Solution Provider Agreement
- IntegTrade will only access and use Amazon data within approved roles and your instructions
- You may revoke authorization at any time through Amazon or by contacting us
Amazon may suspend API access independently of IntegTrade. We are not responsible for Amazon policy enforcement actions against your seller account.
5. Subscription, fees & payment
Waitlist registration is free. Paid plans, if applicable, will be presented during onboarding or in an order form / statement of work. Unless otherwise agreed:
- Fees are billed in U.S. dollars
- Subscriptions renew automatically until cancelled per your plan terms
- Refunds are provided only where required by law or explicitly stated in your agreement
- We may change pricing for new customers with notice; existing paid customers receive advance notice of changes
6. Acceptable use
You will not:
- Violate any law, Amazon policy, or third-party rights
- Access Amazon data without proper seller authorization
- Probe, scan, or test vulnerabilities except with our written consent
- Reverse engineer, scrape, or overload the Service or Amazon APIs
- Share credentials, SP-API tokens, or LWA secrets with unauthorized parties
- Use the Service to build a competing product using unauthorized Amazon data
- Misrepresent affiliation with Amazon or IntegTrade
- Upload malware or interfere with other users' data
7. Customer data & license
You retain ownership of your business data, listing content, and Amazon Information. You grant IntegTrade a limited, non-exclusive license to process Customer Data solely to provide and improve the Service, comply with law, and fulfill Amazon obligations. We do not acquire ownership of your Amazon listings or catalog.
8. Confidentiality
Each party will protect the other's confidential information with reasonable care and use it only for purposes of the relationship. Confidential information includes non-public product roadmaps, pricing, security documentation, and Amazon tokens. Exclusions apply for publicly available information and independently developed materials.
9. Intellectual property
IntegTrade, its software, documentation, branding, and methodologies (including BOLD Protocol workflows) are owned by us or licensors. No rights are granted except as expressly stated. Feedback you provide may be used to improve the Service without obligation to you.
10. Third-party services
The Service integrates with Amazon and other providers listed in our Privacy Policy. We do not control third-party availability, terms, or API changes. Downtime or policy changes at Amazon may affect Service functionality.
11. Warranties & disclaimers
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE." TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT UNINTERRUPTED OPERATION, ERROR-FREE PERFORMANCE, OR SPECIFIC BUSINESS OUTCOMES (INCLUDING SALES RANK, REVENUE, ACOS, OR TACOS RESULTS).
12. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, INTEGTRADE WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR LOST PROFITS, REVENUE, DATA, OR GOODWILL. OUR AGGREGATE LIABILITY FOR ANY CLAIM ARISING FROM THE SERVICE WILL NOT EXCEED THE GREATER OF (A) AMOUNTS PAID BY YOU IN THE TWELVE (12) MONTHS BEFORE THE CLAIM OR (B) ONE HUNDRED U.S. DOLLARS ($100).
13. Indemnification
You will indemnify and hold harmless IntegTrade from claims arising from your use of the Service, your listing content, your violation of these Terms or Amazon policies, or unauthorized API access granted by you.
14. Term & termination
These Terms apply while you use the Service. We may suspend or terminate access for material breach, security risk, or Amazon-mandated revocation. You may stop using the Service at any time. Upon termination, your right to access ends; data handling follows our Privacy Policy.
15. Governing law & disputes
These Terms are governed by the laws of the State of Florida, USA, without regard to conflict-of-law rules. Disputes will be resolved in state or federal courts located in Palm Beach County, Florida, unless otherwise required by applicable consumer protection law.
16. No Amazon affiliation
IntegTrade is an independent software provider. We are not affiliated with, endorsed by, or sponsored by Amazon.com, Inc. or its affiliates. Amazon, Seller Central, SP-API, and related marks are trademarks of Amazon.com, Inc. or its affiliates.
17. Changes to terms
We may update these Terms. Material changes will be posted with a revised date. Continued use after the effective date constitutes acceptance where permitted. Paid customers receive reasonable advance notice of material changes affecting subscriptions.
